1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by JTMorris Pty Ltd (ABN 82 519 108 592), trading as JTMi Services (“JTMi”, “we”, “us”, or “our”), including both our consulting and support services available via jtmi.au (“JTMi Services”) and our hosting platform available via jtmi.cloud (“JTMi Cloud”). By accessing or using our services, you agree to comply with and be bound by these Terms.
2. Services
2.1 JTMi Services
JTMi Services provides IT consulting, support, cybersecurity, cloud solutions, managed services, and related professional services for individuals, businesses, and organisations.
2.2 JTMi Cloud
JTMi Cloud provides hosting services, WordPress platform solutions, domain management, and associated cloud-based services. These services are available under various subscription tiers and may be governed by additional Service Level Agreements (SLAs) or Acceptable Use Policies.
3. Account Registration and Responsibilities
3.1 You may be required to create an account to access certain services. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
3.2 You agree to provide accurate and complete information during registration and to keep such information updated.
3.3 You must not use our services for any unlawful or prohibited purpose.
4. Pricing, Billing and Payment
4.1 Pricing for JTMi Services is generally provided by quotation or under managed service agreements. Ad hoc services are billed at JTMi’s standard hourly rate.
4.2 Pricing for JTMi Cloud services is available on jtmi.cloud and may be updated from time to time.
4.3 All prices are in Australian Dollars (AUD) and exclusive of GST unless stated otherwise.
4.4 Payment terms are as specified on invoices. Overdue payments may result in suspension of services.
5. Intellectual Property
5.1 All content, software, tools, systems, processes, trademarks, and other intellectual property provided by JTMi remain the property of JTMi or its licensors.
5.2 Custom development or consulting outputs may be subject to separate agreements regarding intellectual property ownership.
6. Data and Privacy
6.1 We handle your personal and business information in accordance with our Privacy Policy, which complies with Australian privacy laws.
6.2 You retain ownership of your data. JTMi will take reasonable steps to protect and maintain your data but makes no guarantee of data recovery unless specified in an agreement.
7. Service Availability and Limitations
7.1 JTMi Cloud services operate on best-effort uptime, with specific guarantees applicable only under formal SLA agreements.
7.2 Scheduled maintenance may affect service availability. We will endeavour to provide reasonable notice of scheduled downtime.
7.3 JTMi is not responsible for outages or disruptions caused by third-party providers, upstream carriers, or force majeure events.
8. Warranties and Disclaimers
8.1 All services are provided on an “as-is” basis. While we make reasonable efforts to ensure service quality, we do not guarantee uninterrupted or error-free performance.
8.2 To the fullest extent permitted by law, we disclaim all warranties, express or implied.
9. Australian Consumer Law
9.1 Nothing in these Terms limits your rights under the Australian Consumer Law. If a statutory guarantee applies, our liability is limited, at our discretion, to resupplying the services or paying for the cost of resupply.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, JTMi’s liability for any loss or damage arising out of or related to our services is limited to the total fees paid by you to us for the specific services giving rise to the claim.
10.2 JTMi is not liable for indirect, consequential, or incidental damages.
11. Termination
11.1 Either party may terminate services by giving written notice according to the terms of the relevant agreement.
11.2 We may suspend or terminate services immediately if you breach these Terms.
12. Changes to Terms
We may update these Terms from time to time. Continued use of our services after such updates constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of Western Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Western Australia.
